The Office of Contracts and Grants (OCG) has recently added a partially-executed Non-disclosure Agreement (NDA) Agreement that may be used for unilateral disclosure of confidential information by an external entity to CU Boulder personnel. This agreement must be accepted as written, which allows for immediate acceptance. Learn more about the partially-executed NDA agreement and the steps to follow to utilize this option.

The partially-executed NDA/CDA does not cover CU Boulder personnel disclosing CU Boulder confidential information to an external party. CU confidential information includes only that information that has not been publicly disclosed via posters, presentations, journal articles, published patents, patent applications, etc., or that is not generally available to the public in some other capacity.

For all other NDA/CDA disclosures, Contract Administrators in OCG are the authorized representatives on behalf of CU Boulder for negotiation and execution of NDAs. Requests may be initiated through the NDA Online Request Form. NDA requests can take 4-8 weeks for execution to allow for review and negotiation.

For any questions regarding the new partially-executed NDA, or if you are unsure if this version will fit your needs, please send an email to ocgcontracts@colorado.edu with the subject line “UI NDA Questions - [PI name]”.
